Terms of Service

1. Introduction and acceptance
These Terms of Service ("Terms") govern your access to and use of the PrimusReview platform and services ("Service"), operated by Daniel Thompson trading as PrimusReview ("we", "us", "our").
By creating an account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them in full. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or do not agree to these Terms, you must not use the Service.
These Terms should be read alongside our Privacy Policy at primusreview.com/privacy.
2. Description of the Service
PrimusReview provides an AI-assisted first-pass compliance review platform for promotional and non-promotional materials used in the pharmaceutical, life sciences, and healthcare industries. The Service uses artificial intelligence to analyse submitted materials against applicable regulatory standards including the ABPI Code of Practice, MRS Code of Conduct, NICE methodology, and related UK standards.
The Service is intended to assist qualified professionals in identifying potential compliance issues prior to formal medical, legal, and regulatory (MLR) review. It is a tool to support human review processes — it does not replace qualified professional judgement, and outputs must always be assessed by an appropriately qualified person before being relied upon.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
3. Eligibility
You must be at least 18 years old to use the Service. The Service is intended for use by professionals working in the pharmaceutical, healthcare, life sciences, or related industries, or by agencies and consultants working on behalf of such organisations.
By using the Service you represent and warrant that:
- You are at least 18 years old
- You have the legal capacity to enter into a binding contract
- Your use of the Service complies with all applicable laws and regulations
- You are not prohibited from using the Service under the laws of any applicable jurisdiction
4. Account registration and security
To access the Service you must create an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately at thompson.daniel@primusreview.com if you suspect unauthorised access to your account
- Ensuring your contact details remain accurate and up to date
We reserve the right to suspend or terminate accounts where we have reason to believe credentials have been compromised or where the account is being used in breach of these Terms.
You may not share your account credentials with others. Each account is for a single named individual. Organisation-level or team accounts are available separately — contact us for details.
5. Free trial and subscriptions
Free trial: new accounts receive 5 complimentary reviews upon registration. No payment information is required to access the free trial. The free trial is available once per individual and once per organisation. We reserve the right to withdraw or modify the free trial offer at any time.
Paid subscriptions: continued access beyond the free trial requires a paid subscription. Subscriptions are offered on monthly or annual billing cycles at the rates set out on our pricing page.
Billing: subscriptions are billed in advance on a recurring basis. By subscribing you authorise us to charge your payment method on each renewal date. All prices are stated exclusive of VAT unless otherwise indicated. VAT will be applied where required by applicable law.
Cancellation: you may cancel your subscription at any time via the billing portal accessible from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of a billing period except where required by applicable law.
Price changes: we may change subscription prices with at least 30 days written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
Refunds: except where required by the Consumer Contracts Regulations 2013 or other applicable law, subscription fees are non-refundable. If you believe you are entitled to a refund, contact us at thompson.daniel@primusreview.com within 14 days of the charge.
6. Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Submit materials containing identifiable patient data without appropriate lawful basis and consent
- Submit materials that infringe the intellectual property rights of any third party
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Use automated scripts, bots, or scrapers to access the Service without prior written consent
- Attempt to circumvent usage limits, access controls, or security measures
- Use the Service in a way that could damage, disable, or impair the Service or its infrastructure
- Resell, sublicense, or otherwise commercialise access to the Service without our prior written consent
- Submit false, misleading, or fraudulent information
- Use the Service for any unlawful purpose or in violation of any applicable regulation
- Attempt to gain unauthorised access to other users' accounts or data
We reserve the right to investigate suspected breaches of these provisions and to suspend or terminate access without notice where we reasonably believe a serious breach has occurred.
7. Your content and materials
You retain full ownership of any materials, documents, and content you submit to the Service ("Your Content").
By submitting Your Content, you grant us a limited, non-exclusive, royalty-free licence to process, store, and transmit Your Content solely for the purpose of providing the Service to you. This licence terminates when you delete the content or close your account.
You represent and warrant that:
- You have all necessary rights to submit Your Content to the Service
- Your Content does not infringe any third-party intellectual property rights
- Your Content does not contain identifiable patient data unless you have a lawful basis to process and share such data
- Submitting Your Content does not violate any confidentiality obligation or applicable law
We do not claim ownership of Your Content and will not use it for any purpose other than providing the Service.
8. AI outputs and limitations
The Service uses artificial intelligence to generate compliance analysis outputs ("AI Outputs"). You acknowledge and agree that:
- AI Outputs are generated automatically and may contain errors, omissions, or inaccuracies
- AI Outputs do not constitute legal, regulatory, medical, or professional advice
- AI Outputs are a first-pass tool only and must be reviewed and validated by a qualified professional before being relied upon
- The Service does not replace a qualified ABPI Code signatory, qualified person for pharmacovigilance, medical reviewer, regulatory affairs professional, or legal adviser
- AI models can and do produce incorrect or incomplete outputs — this is an inherent characteristic of current AI technology
- Regulatory standards change over time and AI Outputs may not reflect the most current interpretation of applicable codes
We make no warranty that AI Outputs will be accurate, complete, current, or fit for any particular purpose. You assume full responsibility for any decisions made based on AI Outputs.
9. Intellectual property
The Service, including its software, user interface, design, databases, and all associated content created by us, is owned by Daniel Thompson trading as PrimusReview and is protected by copyright, database rights, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Service in accordance with these Terms. This licence does not include the right to:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or attempt to extract source code
- Remove or alter any proprietary notices or labels
- Use our name, logo, or trademarks without prior written consent
All rights not expressly granted are reserved.
10. Confidentiality
Each party may receive confidential information from the other in connection with the Service. Each party agrees to:
- Keep confidential information secret and not disclose it to third parties without prior written consent
- Use confidential information only for the purpose of using or providing the Service
- Apply at least the same degree of care to protecting the other party's confidential information as it applies to its own confidential information of similar sensitivity
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
You acknowledge that materials you submit may contain confidential or proprietary information belonging to your employer or clients. You are responsible for ensuring you have the authority to submit such materials.
11. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
WE SPECIFICALLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR CURRENCY OF AI OUTPUTS
- WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION
- OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) £100
- WE SHALL NOT BE LIABLE FOR ANY REGULATORY FINDING, COMPLAINT, OR SANCTION ARISING FROM YOUR RELIANCE ON AI OUTPUTS WITHOUT APPROPRIATE PROFESSIONAL REVIEW
- WE SHALL NOT BE LIABLE FOR ANY BREACH OF THE ABPI CODE, MRS CODE, OR OTHER REGULATORY STANDARD ARISING FROM YOUR USE OF THE SERVICE
Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless PrimusReview and its operators, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service in breach of these Terms
- Your Content, including any claim that Your Content infringes third-party rights
- Any regulatory complaint or investigation arising from materials you submitted to the Service
- Your reliance on AI Outputs without appropriate professional review
- Your breach of any applicable law or regulation
14. Suspension and termination
We may suspend or terminate your access to the Service at any time:
- Immediately, without notice, if we reasonably believe you have materially breached these Terms
- With reasonable notice, if we decide to discontinue the Service
- If your subscription payment fails and is not resolved within 7 days
You may terminate your account at any time from the Settings page. Termination does not affect any accrued rights or obligations.
On termination, your right to access the Service ceases immediately. Your data will be retained and then deleted in accordance with our Privacy Policy and Data Retention Policy.
15. Changes to these Terms
We may update these Terms from time to time. We will notify registered users of material changes by email with at least 30 days notice before the changes take effect.
If you do not agree to the updated Terms, you must stop using the Service before the changes take effect. Continued use after that date constitutes acceptance of the updated Terms.
The current version of these Terms will always be available at primusreview.com/terms.
16. General provisions
Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and PrimusReview regarding the Service and supersede all prior agreements and understandings.
Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force.
Waiver: failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
Assignment: you may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force majeure: we shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, internet outages, third-party service failures, or government actions.
Notices: notices to us should be sent to thompson.daniel@primusreview.com. Notices to you will be sent to the email address associated with your account.
17. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer, you may also be entitled to bring proceedings in the courts of the country where you are domiciled.
Nothing in this clause prevents either party from applying to any court for urgent injunctive or other interim relief.
